Copilots.in provides the following services:

Dell Pro Max GB10 Sales

Distribution and sale of Dell Pro Max with NVIDIA GB10 (Grace Blackwell) AI workstations and related hardware products.

Copilots AI Lab Program

Expert-assisted AI deployment services, including GB10 setup, configuration, training, and production pilot implementation (100-hour service packages).

Technical Support

Ongoing technical support, troubleshooting, and maintenance services for GB10 systems and AI infrastructure.

Educational Resources

Access to buyer guides, technical documentation, blog articles, and industry insights related to on-premise AI infrastructure.

4. User Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts under Indian law to use our services. By using our services, you represent and warrant that you meet these eligibility requirements.

If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

5. Account Registration

To access certain features of our services, you may be required to create an account. You agree to:

Provide accurate, current, and complete information during registration

Maintain and promptly update your account information

Maintain the security and confidentiality of your account credentials

Notify us immediately of any unauthorized access or security breach

Accept responsibility for all activities that occur under your account

6. Product Orders and Pricing

6.1 Product Information

We strive to provide accurate product descriptions, specifications, and pricing. However, we do not warrant that product information is complete, reliable, current, or error-free. Product specifications are subject to change by manufacturers (Dell, NVIDIA) without notice.

6.2 Pricing

All prices are listed in Indian Rupees (INR) and are exclusive of applicable taxes (GST) unless otherwise stated. We reserve the right to modify prices at any time without prior notice. Price changes will not affect orders that have been confirmed.

6.3 Order Acceptance

Your order constitutes an offer to purchase products or services. We reserve the right to accept or reject any order for any reason, including but not limited to:

  • Product availability
  • Pricing errors
  • Credit verification issues
  • Suspected fraudulent activity

Order confirmation will be sent via email. A contract is formed only upon our acceptance of your order.

6.4 Payment Terms

Payment must be made in full before product delivery unless alternative payment terms are agreed upon in writing. We accept the following payment methods:

  • Bank transfer (NEFT/RTGS/IMPS)
  • Credit card (subject to processing fees)
  • Purchase order (for approved corporate customers)

6.5 Delivery

Delivery timelines are estimates and may vary based on product availability, location, and other factors. We will make reasonable efforts to deliver products within the estimated timeframe but are not liable for delays beyond our control.

7. Cancellation and Refund Policy

7.1 Order Cancellation

You may cancel your order before it is shipped by contacting us at [email protected]. Once an order has been shipped, cancellation is not possible, but you may be eligible for a return subject to our return policy.

7.2 Return Policy

Dell Pro Max GB10 systems may be returned within 15 days of delivery if:

  • The product is defective or damaged upon arrival
  • The product does not match the specifications ordered
  • The product is unopened and in original packaging (for non-defective returns)

A restocking fee of 10% may apply for non-defective returns. Custom-configured systems are not eligible for return unless defective.

7.3 Service Refunds

Copilots AI Lab Program services are non-refundable once work has commenced. Unused service hours may be refunded at our discretion, minus a 20% administrative fee.

8. Warranties and Disclaimers

8.1 Product Warranties

Dell Pro Max GB10 systems are covered by manufacturer warranties provided by Dell Technologies and NVIDIA. Warranty terms, duration, and coverage are determined by the manufacturers. We act as an intermediary for warranty claims and are not responsible for warranty fulfillment.

8.2 Service Warranties

We warrant that Copilots AI Lab Program services will be performed with reasonable skill and care. However, we do not guarantee specific outcomes, performance metrics, or ROI results.

8.3 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR SERVICES AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Uninterrupted or error-free operation
  • Accuracy or completeness of content

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY INDIAN LAW:

IN NO EVENT SHALL SWARAN SOFT SUPPORT SOLUTIONS PRIVATE LIMITED, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption
  • Cost of substitute products or services

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM, OR INR 100,000, WHICHEVER IS LOWER.

10. Intellectual Property Rights

10.1 Our Content

All content on Copilots.in, including but not limited to text, graphics, logos, images, videos, software, and documentation, is the property of Swaran Soft Support Solutions Private Limited or its licensors and is protected by Indian and international intellectual property laws.

10.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for your internal business purposes. You may not:

  • Copy, modify, or create derivative works of our content
  • Reverse engineer or decompile any software
  • Remove or alter any proprietary notices
  • Use our content for commercial purposes without permission

10.3 Trademarks

"Copilots.in," our logo, and other marks are trademarks of Swaran Soft Support Solutions Private Limited. "Dell," "Pro Max," "NVIDIA," "GB10," and "Grace Blackwell" are trademarks of their respective owners. You may not use any trademarks without prior written permission.

11. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

Violating any applicable laws or regulations

Infringing on intellectual property rights

Transmitting malware, viruses, or harmful code

Attempting to gain unauthorized access to our systems

Interfering with or disrupting our services

Impersonating any person or entity

Collecting or harvesting personal data without consent

Using our services for any unlawful or fraudulent purpose

12. Indemnification

You agree to indemnify, defend, and hold harmless Swaran Soft Support Solutions Private Limited, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

Your use of our services

Your violation of these Terms

Your violation of any rights of third parties

Your negligence or willful misconduct

13. Termination

We reserve the right to suspend or terminate your access to our services at any time, with or without cause, with or without notice, for any reason including but not limited to:

Violation of these Terms

Fraudulent or illegal activity

Non-payment of fees

Inactivity for an extended period

Upon termination, your right to use our services will immediately cease. Sections of these Terms that by their nature should survive termination will survive, including but not limited to warranty disclaimers, limitations of liability, and dispute resolution provisions.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any disputes arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Gurugram, Haryana, India. You irrevocably consent to the jurisdiction and venue of such courts.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating formal proceedings, you agree to attempt to resolve any dispute informally by contacting us at [email protected]. We will make reasonable efforts to resolve the dispute within 30 days.

15.2 Arbitration

If informal resolution fails, any dispute shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in Gurugram, Haryana, India, in English, by a sole arbitrator mutually agreed upon by the parties.

15.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

16. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, pandemics, or failures of third-party services or infrastructure.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised "Last Updated" date or by sending you an email notification.

Your continued use of our services after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of our services.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

These Terms, together with our Privacy Policy and any other legal notices or agreements published on Copilots.in, constitute the entire agreement between you and Swaran Soft Support Solutions Private Limited regarding your use of our services and supersede all prior agreements and understandings.
